Introduction and Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and DjaloVentures OU (“Silvoo”, “we”, “us”, or “our”), a company registered in the Republic of Estonia (registry code: 16915498), governing your access to and use of the Silvoo platform and related services.
By creating an account, accessing, or using Silvoo, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
If you do not agree to these Terms, you may not access or use our services.
Description of the Service
Silvoo is a financial obligation control system that continuously interprets, monitors, and enforces obligations buried in business documents. Our services include:
- Document storage, organisation, and retrieval
- Workflow automation and approval routing
- Document capture and intelligent data extraction
- Electronic signature capabilities
- Integration capabilities with third-party systems
- Collaboration and sharing features
The specific features available to you depend on your subscription plan and any additional modules you have purchased.
Account Registration and Responsibilities
To use Silvoo, you must create an account and provide accurate, complete information. You agree to:
- Provide truthful and current registration information
- Maintain the security of your account credentials
- Promptly update your account information if it changes
- Notify us immediately of any unauthorised access to your account
- Accept responsibility for all activities that occur under your account
You may not share your account credentials or allow others to access your account. If you are an organisation, you are responsible for ensuring that your users comply with these Terms.
We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, particularly in cases of suspected violation of these Terms.
Acceptable Use
You agree to use Silvoo only for lawful purposes and in accordance with these Terms. You may not:
- Use the service for any illegal or unauthorised purpose
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to any part of the service or its systems
- Interfere with or disrupt the integrity or performance of the service
- Reverse engineer, decompile, or disassemble any part of the service
- Resell, sublicense, or redistribute the service without authorisation
- Use the service to store or transmit content that infringes intellectual property rights
- Use the service in a manner that violates applicable laws or regulations
- Circumvent usage limits, quotas, or access restrictions
We reserve the right to investigate and take appropriate action against violations, including suspension or termination of access.
Customer Content and Ownership
Your ownership:You retain all rights, title, and interest in and to any documents, data, and content that you upload, create, or store using Silvoo (“Customer Content”). We do not claim any ownership rights over your content.
Limited licence: By using Silvoo, you grant us a limited, non-exclusive licence to access, process, and display your Customer Content solely to the extent necessary to provide the services. This licence terminates when you delete your content or close your account.
Your responsibilities: You are solely responsible for:
- The legality, reliability, and appropriateness of your Customer Content
- Ensuring you have the necessary rights to upload and process your content
- Maintaining appropriate backups of your content
- Complying with applicable data protection laws when processing personal data
We may remove or disable access to content that we reasonably believe violates these Terms or applicable law.
AI Features Disclaimer
Silvoo incorporates artificial intelligence and machine learning features to assist with document processing, extraction, classification, and analysis. You acknowledge and agree that:
- AI-generated outputs are provided as assistance and should be reviewed by qualified personnel before relying on them for important decisions
- AI features may occasionally produce inaccurate, incomplete, or unexpected results
- You are responsible for verifying the accuracy and suitability of any AI-generated content for your purposes
- We do not guarantee specific accuracy rates or outcomes from AI features
Important: Silvoo is a financial obligation control system, not a law firm or legal services provider. AI-generated suggestions or analyses do not constitute legal, financial, tax, or professional advice. You should consult qualified professionals for matters requiring such expertise.
Availability and Service Continuity
We strive to maintain high availability of the Silvoo platform. However, you acknowledge that:
- The service may be subject to scheduled maintenance, during which it may be temporarily unavailable. We will endeavour to provide advance notice of scheduled maintenance.
- Unplanned outages may occur due to technical issues, security incidents, or circumstances beyond our reasonable control.
- Specific availability commitments, if any, are set forth in your service agreement or applicable service level agreement.
We do not guarantee uninterrupted, error-free, or completely secure access to the service. We will make commercially reasonable efforts to restore service promptly in the event of an outage.
Fees and Billing
Access to Silvoo requires a paid subscription. By subscribing, you agree to pay the applicable fees as described in your order or the pricing information provided at the time of purchase.
- Billing cycle: Fees are billed in advance on a monthly or annual basis, depending on your selected plan.
- Payment: Payment is due upon invoice or automatically charged to your designated payment method.
- Price changes: We may adjust pricing with reasonable notice. Price changes take effect at the start of your next billing cycle.
- Taxes: Fees are exclusive of applicable taxes, which will be added where required by law.
- Refunds: Fees are generally non-refundable except as required by law or as expressly stated in your service agreement.
Failure to pay may result in suspension or termination of your access to the service.
Suspension and Termination
By you: You may terminate your account at any time by contacting us or using the account closure feature in the platform. Termination does not entitle you to a refund of prepaid fees unless otherwise specified.
By us: We may suspend or terminate your access to Silvoo:
- If you breach these Terms or any applicable agreement
- If you fail to pay fees when due
- If required by law or legal process
- If we reasonably believe your use poses a security risk
- If your account has been inactive for an extended period
Effect of termination: Upon termination:
- Your right to access the service will cease immediately
- You will have a limited period, as specified in your agreement, to export your data
- We will delete your Customer Content in accordance with our data retention policy, unless retention is required by law
- Provisions that by their nature should survive will remain in effect
Intellectual Property
Our property: Silvoo and its licensors retain all rights, title, and interest in and to the service, including all software, technology, designs, trademarks, and other intellectual property. These Terms do not grant you any rights to use our trademarks, logos, or branding without our prior written consent.
Feedback: If you provide suggestions, ideas, or feedback about our service, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable licence to use and incorporate such feedback into our products and services without obligation to you.
Restrictions: You may not copy, modify, distribute, sell, or lease any part of the service or its underlying technology, except as expressly permitted by these Terms or applicable law.
Confidentiality
Each party agrees to protect the confidential information of the other party with the same degree of care it uses to protect its own confidential information, but no less than reasonable care.
“Confidential Information” includes non-public information designated as confidential or that reasonably should be understood to be confidential, including Customer Content, business plans, technical data, and proprietary information.
Confidential Information does not include information that is or becomes publicly available without breach, was known to the receiving party before disclosure, is received from a third party without restriction, or is independently developed without use of the disclosing party's confidential information.
Limitation of Liability
To the maximum extent permitted by applicable law:
Exclusion of indirect damages: Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to these Terms.
Cap on liability:Each party's total cumulative liability arising out of or related to these Terms will not exceed the total fees paid or payable by you to Silvoo during the twelve months preceding the claim.
Exceptions:These limitations do not apply to breaches of confidentiality obligations, your payment obligations, either party's indemnification obligations, or liability that cannot be limited by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Silvoo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:
- Your use of the service in violation of these Terms
- Your Customer Content, including any claim that it infringes third-party rights
- Your violation of applicable laws or regulations
- Any dispute between you and a third party related to the service
We will promptly notify you of any such claim and reasonably cooperate with your defence, at your expense.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the service will be subject to the exclusive jurisdiction of the courts of the Republic of Estonia, located in Tallinn.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Changes to the Service or Terms
Changes to the service: We may modify, update, or discontinue features of the service at any time. We will provide reasonable notice of material changes that negatively affect your use.
Changes to these Terms: When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via email or through the platform
- Your continued use of the service after the effective date constitutes acceptance of the revised Terms
If you do not agree to the revised Terms, you must stop using the service and may terminate your account.
General Provisions
- Entire agreement: These Terms, together with any applicable order forms or service agreements, constitute the entire agreement between you and Silvoo regarding the service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
- Waiver: No waiver of any term will be deemed a further or continuing waiver of such term or any other term.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party will be liable for delays or failures due to circumstances beyond their reasonable control.
